We take this responsibility seriously and comply with allapplicable data protection laws, including the Health Insurance Portability and Accountability Act(HIPAA), the U.S. Food and Drug Administration's 21 CFR Part 11, and the General DataProtection Regulation (GDPR), where applicable.
1.1. Welcome to the NeuroUX Research Platform, a cutting-edge tool developed by NeuroUX Inc. to enhance research and its applications. These Terms and Conditions outline the use of the NeuroUX Research Platform, including its website, applications, and related services. By accessing or using the platform, you agree to comply with these Terms and Conditions. If you disagree with any part, please refrain from using the platform.
2.1. "NeuroUX Research Platform" (hereinafter referred to as the "Platform") includes the NeuroUX applications, website and associated services.
2.2. "NeuroUX Inc." (hereinafter referred to as "NeuroUX") is the company that owns and operates the NeuroUX Research Platform.
2.3. "User" refers to any individual, organization, or entity that has obtained a license to use the NeuroUX Research Platform.
2.4. "Participant" refers to an individual who voluntarily takes part in research studies, assessments, or other activities conducted by a User through the Platform. Participants engage with the Platform solely through the User's initiative and their rights and obligations concerning the Platform are governed through their agreements with the User, not directly with NeuroUX Inc.
3.1. In order to access certain features of the Platform, you may be required to create an account. You agree to provide accurate and complete information during the registration process and to keep your account information updated.
3.2. You are responsible for maintaining the confidentiality of your account credentials and for any activity that occurs under your account. NeuroUX reserves the right to suspend or terminate your account if we believe that you have violated these Terms and Conditions or engaged in any unauthorized use of the Platform.
3.3. Users are responsible for onboarding their participants, obtaining informed consent, and ensuring all data is collected in compliance with relevant regulations or laws applicable to their specific use case or jurisdiction.
4.1. The Platform is provided to facilitate research and related applications. Users may not use the Platform for any unlawful or unauthorized purpose.
4.2. Users are responsible for obtaining any necessary approvals or permissions for their activities on the Platform, including Institutional Review Board (IRB) approval and informed consent from participants where required.
5.1. "User Generated Content" refers to any data, information, or materials submitted, uploaded, generated, or otherwise provided through the use of the Platform. This includes but is not limited to research data, study results, and assessment outcomes.
5.2. User Generated Content does not include operational data such as audit logs, system usage data, and other administrative metrics, which are used by NeuroUX as necessary for the maintenance and enhancement of the Platform.
6.1. All User Generated Content is subject to our Privacy Policy, which governs the collection, use, and disclosure of information.
6.2. Users retain full ownership of User Generated Content.
6.3. NeuroUX employs industry-standard security measures to protect the integrity and confidentiality of data. However, we cannot guarantee that the Platform will be completely free from security vulnerabilities.
7.1. Except for User Generated Content, all elements of the Platform, including but not limited to copyrights, trademarks, and other intellectual property rights, are owned by NeuroUX. You acknowledge that the Platform and any underlying technology used in connection with the Platform contain NeuroUX's intellectual property and proprietary information.
7.2. Any modifications, customizations, configurations, integrations, features, improvements, or derivative works developed by NeuroUX for or in connection with a User’s use of the Platform shall remain the exclusive intellectual property of NeuroUX unless otherwise expressly agreed in writing. Such customizations may incorporate NeuroUX’s proprietary technology, frameworks, or methodologies and may be used, reused, or further developed by NeuroUX across its products and services.
7.3. NeuroUX grants Users a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform in accordance with these Terms and Conditions. This license does not grant Users any rights to NeuroUX's intellectual property or proprietary information beyond the scope of the Platform's intended use.
8.1. NeuroUX reserves the right to suspend or terminate your access to the Platform if you violate these Terms and Conditions or engage in any unauthorized use of the Platform. In such cases, NeuroUX will provide you with written notice specifying the nature of the violation and the potential consequences. You will be given an opportunity to address the violation within a specified timeframe before any action is taken on your account. Upon termination, your access to the Platform will be immediately revoked, and you must cease all use of the Platform. NeuroUX reserves the right to delete or retain any User Generated Content or data associated with your account after a reasonable period following termination, subject to applicable laws and regulations.
8.2. NeuroUX may update or modify these Terms and Conditions from time to time. Any changes will be effective immediately upon notification to users. Your continued use of the Platform after such modifications constitutes acceptance of the updated terms.
9.1. To the fullest extent permitted by law, NeuroUX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your access to or use of the Platform.
9.2. Upon request by us, you agree to defend, indemnify and hold NeuroUX and its partners, affiliates, service providers, licensors, officers, directors, employees and agents harmless from and against any and all losses, liabilities, damages and costs, including but not limited to reasonable legal and accounting fees, arising from any claims, actions or demands related to or alleged to relate to: (a) your use of the Platform, including any User Generated Content you post, store, reproduce, display, or distribute; (b) your violation of the Terms of Use; or (c) your violation of any intellectual property or other third party rights or any applicable law in connection with your use of the Platform.
10.1. NeuroUX shall not be liable for any delays or failures in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, labor disputes, riots, war, acts of terrorism, governmental actions, or any other cause beyond NeuroUX's reasonable control.
11.1. These Terms and Conditions constitute the entire agreement between you and NeuroUX concerning the use of the Platform and supersede all prior agreements or understandings, whether written or oral.
11.2. If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
12.1. These Terms and Conditions are governed by the laws of Delaware, without regard to its conflict of laws principles.
12.2. Any dispute arising out of or relating to these Terms and Conditions or your use of the Platform shall be resolved through arbitration in accordance with the rules of the American Arbitration Association.
